Bonus Content: Schneider Electric Sells €6 Billion of New Shares to Buy PTC. Here Is What That Costs You.

A note from our friends at Weiss Ratings(ad)

Dear Reader,

A lot of investors are looking at the AI boom like it’s a short-term phenomenon.

Like it’s a fad that’s going to die down pretty soon.

But nothing could be further from the truth.

Microsoft CEO Satya Nadella recently said we’re only in the “beginning phases of AI diffusion.”

And Goldman Sachs CEO David Solomon says the AI infrastructure buildout is still in the “early innings right now.”

AI still needs massive amounts of infrastructure, equipment, software, data capacity and supporting technology.

Which means as this buildout continues, the money flowing into AI could spread out into a whole new group of stocks that nobody has thought about until now.

In fact, our analysts at Weiss Ratings believe this is already happening.

Three AI stocks identified by our ratings system are already up 37%, 55% and 264%.

And we’ve identified 10 more Buy-rated stocks for a new special report: 10 Stocks to Own for the Next AI Boom

I’ll show you how to get your hands on this report.

But first, there’s a bigger question involved:

How do you consistently find lesser-known AI stocks that could benefit from this boom? Not just now but over the next decade and beyond?

The answer is inside our new presentation.

Schneider Electric Sells €6 Billion of New Shares to Buy PTC. Here Is What That Costs You.

Schneider Electric confirmed Tuesday morning that it successfully placed 25 million new shares at €240 apiece, raising €6 billion overnight through an accelerated bookbuild with no preferential subscription rights for existing holders. The shares were priced at a 4.99% discount to the previous closing price of €252.60. The stock fell to around €243 to €247 in Paris this morning, one of the worst performers in the European industrial complex.

Analyst Targets

  • JPMorgan: Downgraded to Neutral from Overweight; price target cut to €310 from €345 following the PTC acquisition announcement.
  • Barclays: Trimmed target to €326 from €356, keeping Overweight but flagging uncertainty around the €800 million in projected revenue synergies and execution risk from managing several major integrations simultaneously.
  • Street consensus: The article’s figures for the number of covering analysts, the average target, and Tuesday’s close could not be verified from primary sources in the time available, so they have been removed.

What Schneider Is Buying

Earlier this month, Schneider Electric announced it had agreed to buy PTC in an all-cash deal valuing the company’s equity at $22.6 billion, aiming to position the group for industrial artificial intelligence. PTC’s software spans complex industrial product design, engineering and data management, including computer-aided design, product lifecycle management and service lifecycle management.

PTC generated €2.4 billion in revenue in calendar year 2025, with an adjusted EBITA margin of about 40%. The deal carries an implied enterprise value of $23.7 billion, equivalent to 21 times estimated 2027 adjusted EBITA, or 13 times on the same basis when full run-rate synergies are included. Schneider says the combination will expand its total addressable market in industrial software by roughly three times, reaching into discrete and hybrid manufacturing.

The Numbers That Matter Now

Today’s placement is a down payment on a very large bill. Schneider plans to fund the deal with €5 to €6 billion of equity raised through the accelerated bookbuild and €16 to €17 billion of senior debt across multiple currencies. The group placed 25 million new ordinary shares with qualified investors, representing approximately 4.32% of its capital before the operation. A shareholder holding 1% would hold 0.96% afterward.

The balance sheet math is stark. Net debt rose from €9.43 billion in September 2024 to €16.29 billion in June 2026, taking net debt to EBITDA from 1.14x to 1.78x before either PTC or Cognite is on the books. Adding the new borrowing to June’s net debt puts the total near €32 to €33 billion, roughly double the current level.

Schneider says its commitment to a Category A credit rating and its progressive dividend policy remain unchanged, though share repurchases are expected to pause during 2027 and 2028. S&P Global Ratings and Moody’s reaffirmed Schneider’s Category A ratings on October 6, 2026, after the acquisition announcement on October 5, 2026.

Schneider is not the only European-rooted industrial betting its balance sheet on the AI infrastructure cycle. Eaton has built a 307-gigawatt data center pipeline that its own stock price has yet to fully price in.

Why the Stock Is Falling

Three layers of pressure are colliding at once. First, the mechanical discount: placing shares at €240 when the market closed at €252.60 the prior session resets the near-term floor. Second, the dilution: 4.32% of the float added without a rights offering means existing shareholders absorb the cost directly. Third, the deal itself remains controversial. When the PTC acquisition was announced on October 5, 2026, Schneider’s shares fell about 10% in early Paris trading as investors weighed the size of the acquisition and the premium.

PTC is expected to be low-single-digit accretive to adjusted earnings per share in the first year, rising to mid-to-high single digits with full synergies. The synergy case hinges on cross-selling across 30,000-plus PTC customers through Schneider’s global distribution network, and on hitting €800 million of revenue synergies, a figure Barclays is already questioning.

Bull / Base / Bear

Bull: PTC’s 40% EBITA margins and roughly 85% gross margins lift Schneider’s software mix toward 24% of group revenue on a pro forma basis. Industrial AI spending proves durable, synergies land on schedule, and leverage shrinks via free cash flow faster than the market currently prices. The €327 consensus target becomes fair value again by mid-2027.

Base: Dilution and elevated leverage cap re-rating. The stock trades in a €240 to €265 range through deal close, with recovery dependent on proof points around integration execution and data center demand sustaining Schneider’s underlying organic growth, which hit 16.9% in Q3 2026.

Bear: If the data center spending cycle cools, the debt service becomes heavier relative to cash flow. Cost synergies disappoint, revenue synergies prove elusive, and the stock revisits its 52-week low near €220.

The bear case hinges on whether hyperscaler AI spending holds at current levels. The $2.4 trillion in combined AI infrastructure commitments from the four largest cloud operators is already splitting into cash-generative winners and free-cash-flow burners.

Technical Overlay

The article’s specific 52-week high and low figures could not be verified from primary sources in the time available, so they have been removed. The €240 placement price now acts as an anchor and an immediate test of support. A close below that level on elevated volume would be technically damaging and could invite momentum selling. The 200-day moving average, which most European industrial names use as a structural reference, sits materially below the placement price and provides a distant floor rather than a near-term one.

Bottom Line

The placement itself executed cleanly. Raising €6 billion overnight at less than a 5% discount is a credible vote of confidence from institutional investors in the industrial AI logic behind the PTC deal. The harder question is what comes next: the deal values PTC at about 21x estimated 2027 adjusted EBITA before synergies and 13x only with the €800 million of revenue synergies included. That is a wide gap to close through execution alone. Schneider’s long-term industrial AI positioning is credible. The price paid to get there, and the leverage added to fund it, will define whether SU shareholders are rewarded or merely patient.
