Finally… options made simple

A note from our friends at Tradewins(ad)

Ian Cooper here,

For the longest time…

I thought successful options trading required:

  • ❌ Staring at charts all day

I was overwhelmed, confused, and constantly second-guessing every trade.

Then I discovered something that completely changed the game…

A surprisingly SIMPLE options setup that helped me stop overthinking and start trading with clarity.

No complicated indicators.

Cleanaway Surges 20%: Decode the A$3.095 Offer

Cleanaway Waste Management (ASX: CWY) was the top mover on the Australian market this Monday, October 19, 2026, up roughly 20% to around A$2.96. The trigger: a binding scheme implementation deed signed with EQT Infrastructure VI, the infrastructure strategy of Swedish investment group EQT AB. The stock just posted its best single-day percentage move in more than a decade.

The mechanics of the offer matter, because they determine real shareholder returns rather than just a headline number.

The Offer Unpacked

EQT’s vehicle Sedum Group Pty Ltd will acquire 100% of Cleanaway’s shares for A$3.095 cash per share, less the cash amount of any dividends (including any special dividend) or other distributions declared or paid before completion. The board may declare a fully franked special dividend of up to A$0.19 per share prior to implementation, and has indicated it is currently considering a range of A$0.145 to A$0.19. In practice, that means total proceeds land between approximately A$3.240 and A$3.285 per share, with the dividend reducing the scheme consideration dollar-for-dollar.

The deal implies an enterprise valuation of approximately A$9.3 billion. EQT has also disclosed a “ticking fee” that would apply only if the implementation date is after May 31, 2027, adding A$0.0002 per share per day of delay from June 1, 2027 through implementation.

The terms represent a 32.1% premium to Cleanaway’s last closing share price of A$2.37 on August 12, 2026, the last full day of trading prior to Cleanaway’s first media release about a potential transaction. That gap between the trading price and the A$3.095 ceiling reflects the market’s standard discount for completion risk, regulatory timing, and dividend uncertainty.

The Business EQT Is Buying

Cleanaway is Australia’s largest waste management business, providing collection, processing, treatment, recycling, and disposal of waste across municipal, commercial, and industrial sectors. It operates a national fleet of more than 6,200 vehicles and is supported by more than 350 locations.

In FY26, Cleanaway reported gross revenue of A$4.371 billion, with growth supported by the acquisitions of Contract Resources and Citywide Waste. Underlying EBIT increased 14.2% to A$470.2 million, driven by pricing and operational improvements. Free cash flow surged 63.7% to A$213.8 million. Strong operating momentum, not distress, is what EQT is acquiring.

Why the Stock Stopped at A$2.96, Not A$3.09

The spread tells you what the market thinks this deal costs to close. Shareholder, court, and regulatory approvals are still required, with implementation expected by the end of March 2027 if conditions are satisfied. Regulatory sign-off from Australia’s FIRB and ACCC, plus competition clearances in Kuwait and Saudi Arabia, still need to clear. That is months of execution risk embedded in a discount to the scheme price.

The Cleanaway board unanimously recommends shareholders vote in favour of the takeover, in the absence of a superior proposal and subject to an independent expert concluding the offer is in shareholders’ best interests. No competing bid has emerged.

The Bigger Picture: Australia’s Public-to-Private Wave

Cleanaway joins a crowded queue. Australia’s bid activity has spread across sectors, with KKR-backed buyers participating in a consortium deal to take insurance broker Steadfast private for A$7.7 billion, while Brookfield agreed to acquire plumbing supplier Reliance Worldwide in a deal valued at about A$4.1 billion (about US$2.9 billion). Bloomberg has reported the Cleanaway transaction would sit among Australia’s larger M&A deals this year.

For EQT specifically, the appeal is structural. Waste infrastructure is non-cyclical, regulated, and difficult to replicate. That is the asset class definition of defensible.

Forward Scenarios

  • Bull: Regulators clear the scheme on schedule, no competing offer emerges, and shareholders receive A$3.095 less any dividends, alongside a fully franked special dividend of A$0.19, by late March 2027. Total cash proceeds of approximately A$3.285 per share, before considering the value of franking credits for eligible shareholders.
  • Base: ACCC requests additional information, extending the timetable by four to six weeks but not blocking the deal. Scheme implements by mid-April 2027 with a dividend in the A$0.145 to A$0.19 range.
  • Bear: Regulatory complications or a material adverse change trigger renegotiation. CWY retreats toward pre-bid levels as deal certainty fades.

What to Watch

The key variables from here are ACCC timing on any competition review, confirmation of the special dividend amount, and whether an independent expert’s report endorses the A$3.095 valuation. EQT’s approach became public on August 13, 2026, meaning weeks of scrutiny preceded the binding deed. The risk of a slow timetable is real.

Bottom Line

For investors holding CWY, the trade is now purely about the spread. At about A$2.96, you are locking in a discount to scheme price, plus a fully franked special dividend that may provide tax credits eligible Australian shareholders can use. EQT is paying a full price for a cash-generative infrastructure asset in a higher-rate world, and the market knows it. The 20% jump was the re-rating. The next catalyst is a regulator’s decision.
